As a partner in Pretzel & Stouffer’s general practice department, Steve has more than fifteen years’ experience representing clients with complex legal issues in the fields of health care, corporate, real estate, estate planning and asset protection law.
He has represented physician practice groups, individual physicians and hospitals, and other health care organizations in most legal matters, including acting as general counsel. He advises clients on the implications of anti-trust laws, the Illinois Health Care Worker Self-Referral Act, Section 1877 of the Social Security Act (the Stark Law), Section 1128B(b) of the Social Security Act (the Anti-Kickback Statute) and the Health Insurance Portability and Accountability Act (HIPAA). Steve also drafts and reviews operating agreements, medical provider service agreements, subscription agreements, confidentiality agreements and other documents in connection with medical practice formations and mergers.
In the area of general corporate matters, Steve provides counsel on the formation, merger and acquisition, and dissolution of domestic, foreign and not-for-profit corporations, limited liability companies, limited partnerships and joint ventures. Among other activities, this work includes assisting clients with their business plans, corporate organizations and operating considerations such as the preparation of shareholders’ agreements, stock redemption agreements, buy-sell agreements, employee benefit plans, business-related contracts, and intellectual property registration and protection.
In real estate law, Steve provides full-service representation to commercial developers, landlords, tenants, and residential buyers and sellers. From negotiating the sale to drafting documentation, he helps clients through all aspects of the transaction, whether it involves improved properties, new construction or vacant land. To help clients with asset protection, business succession and wealth management, he also provides estate planning services, including the preparation of wills, declaration of trusts, irrevocable life insurance trusts, family limited partnerships, powers of attorney for health care, living wills and related documents.
